MEMORANDUM OF ASSOCIATION

In Tallinn, on November 7, 2003
This Memorandum of Association has been concluded by the following persons (hereinafter all together referred to as the Founders):

1. The City of Helsinki – the location of the City Government: Pohjoisesplanadi 11-13, 00170 Helsinki, whose rights as the founder are exercised on the grounds of Helsinki City Government Resolution No 604 of 05.05.2003 by Pekka Korpinen;

2.      The City of Tallinn – the location of the City Government: Vabaduse väljak 7, 15199 Tallinn, whose rights as the founder are exercised on the grounds of Tallinn City Government Order No 2438-k of October 29, 2003 by Maret Maripuu;

3. Uudenmaan Liitto (Uusimaa Regional Council) – located in Helsinki, whose rights as the founder are exercised on the grounds of § 17 of the Uudenmaan Liitto Administrative Code and Uudenmaan Liitto County Government Resolution No 129 of 14.10.2002 by Aimo Lempinen;

4. The Republic of Estonia, whose rights as the founder are exercised on the grounds of the Government of the Republic Order No 713-k of October 30, 2003 by Orm Valtson;

5. Harjumaa Omavalitsuste Liit (Union of Harju County Municipalities) – located in Tallinn, registry code 71039313, whose rights as the founder are exercised on the grounds of clause 10.9 of the Resolution of the Board of the Union of Harju County Municipalities of 09.04.2003 by Andre Sepp.

The Founders have hereby decided:

1. To found a non-profit association with the name Mittetulundusühing Helsinki-Tallinn Euregio (hereinafter the Association).

2. The location of the Association is Tallinn, Republic of Estonia. The address of the Association is Rävala 5-305A, 10143 Tallinn, Republic of Estonia.

3. Objectives of the Association:

3.1 The Association has been founded to achieve the objectives set out in the Helsinki-Tallinn Euregio co-operation agreement concluded on June 22, 1999.

3.2 The objective of the Association is to contribute to the cross-border regional co-operation between Estonia and Finland and to promote the co-operational region of the Association.

4. To appoint the following members of the Management Board of the Association and their personal substitute members:

4.1 Maret Maripuu, residing in Tallinn, Republic of Estonia – as the representative of the City of Tallinn. Substitute member Toomas Vitsut, residing in Kernu municipality, Harjumaa, Republic of Estonia;

4.2 Pekka Juha Tapio Korpinen, residing in Helsinki, Republic of Finland – as the representative of the City of Helsinki. Substitute member Matti Juhani Ollinkari, residing in Helsinki, Republic of Finland;

4.3 Orm Valtson, residing in Saue town, Harjumaa, Republic of Estonia – as the representative of the Republic of Estonia. Substitute member Riin Kranna, residing in Tallinn, Republic of Estonia;

4.4 Ulla Inkeri Kapanen-Grönfors, residing in Espoo, Republic of Finland – as the representative of Uudenmaan Liitto. Substitute member Aimo Antero Lempinen, residing in Sipoo, Republic of Finland;

4.5 Andre Sepp, residing in Raasiku municipality, Harjumaa, Republic of Estonia – as the representative of the Union of Harju County Municipalities. Substitute member Endel Lepik, residing in Rae municipality, Harjumaa, Republic of Estonia.

5. To approve the statutes of the Association as an annex to this memorandum of association.

6. All obligations of the founders, which are the costs related to the foundation of the Association, shall be incurred by the Union of Harju County Municipalities from the budget funds of Helsinki-Tallinn Euregio network.

7. This memorandum of association and the statutes to be approved as an appendix hereto have been made in 6 (six) original copies, from which each founder will receive one and one shall be submitted to the Non-Profit Associations and Foundations Register.
